1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Pampas Creation ("we," "us" or "our"), concerning your access to and use of our website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site or utilizing our OEM and manufacturing services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Site and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and our services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

For OEM Clients: All designs, specifications, tech packs, and brand logos provided by you for custom manufacturing remain your exclusive intellectual property. Pampas Creation claims no ownership over your proprietary designs and signs strict Non-Disclosure Agreements (NDAs) upon request.

3. Manufacturing & Orders

• Sampling: Sample development is subject to a development fee, which may be adjusted or refunded against bulk order invoices based on contract terms.
• Minimum Order Quantity (MOQ): All bulk production orders are subject to an MOQ, which varies depending on the product type and leather specifications.
• Production Timeline: Estimated lead times are provided upon order confirmation. While we strive to meet all deadlines, lead times are estimates and subject to raw material availability and logistics factors.
• Quality Assurance: We adhere to a strict zero-defect policy. Any claims regarding manufacturing defects must be reported within 15 days of consignment receipt.

4. Payment Terms

For wholesale and OEM manufacturing, standard payment terms typically require a 50% advance deposit to commence raw material procurement and sampling, with the remaining 50% balance due upon completion of production and before final dispatch, unless otherwise negotiated and stipulated in a commercial contract.

5. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of India. Pampas Creation and yourself irrevocably consent that the courts of Kolkata, West Bengal, India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
